This loan agreement template is to be used in venture capital financing transactions (typically pre-seed and/or seed stage financing). This template should be used when the lender is a small business investment company (SBIC). This template includes practical guidance, drafting notes, and alternate and optional clauses. This template is adapted from a financing agreement furnished by a leading SBIC and illustrates the major elements found in such loan agreements. Although any venture capital investment will be governed by a tailor-made investment agreement, reference to this template can serve as a preliminary guide for the borrower and provide assistance in drafting the loan document.
